OpsBots — business terms
Self-drafted by CHK GmbH; not reviewed by a lawyer.
1. Contract and scope
These terms govern OpsBots between CHK GmbH, identified in the imprint, and the business accepting them through its authorised representative. The offer is for businesses in Switzerland, Liechtenstein and the European Union, not consumers. The accepted order specifies the plan, currency and billing interval. Individually agreed terms prevail; the DPA prevails for processing personal data on the client's behalf.
OpsBots uses the client's knowledge to answer questions in a website chat and, on plans that include it, to write reply drafts in a connected Gmail mailbox. Outlook and WhatsApp are not available yet. A planned channel is not a delivered feature and becomes part of the contract only once it is offered in the order. A Gmail connection needs the authorisation of someone entitled to grant access to that mailbox.
2. Accounts and responsibilities
Use individual accounts, accurate business information and two-step authentication. Keep recovery codes secure. The workspace owner controls membership and must promptly remove access that is no longer needed. Tell CHK about suspected unauthorised access. You must have authority to connect each mailbox, submit documents and direct processing of the data concerned.
You remain responsible for your content, customer-facing notices, required permissions, lawful instructions and review of the assistant. AI can omit information or produce incorrect answers. Check important facts and outgoing e-mail drafts, and provide a human contact route. The e-mail service creates drafts; it does not automatically send them. A handover is not a promise that someone will answer within a particular time. OpsBots is not an emergency service or a substitute for professional advice.
3. Trial and limits
An eligible workspace receives one 14-day trial after adding a payment card. The trial has its own allowances and includes the e-mail drafting entitlement. If you choose Starter, e-mail drafting ends when the trial converts to Starter. Unless cancelled before the trial ends, the selected paid plan is charged automatically at the price and interval shown in Checkout. Choosing a different plan does not grant another trial. There is one free trial per business. A website that already had a trial gets a check of at most one day instead, after which the plan is charged. A trial started with a card that already had one, or for a website that already had one, ends at once and is charged from that day. If the billing details are not confirmed at that point, or you had already cancelled it, it ends without any charge; while Stripe is still checking a VAT number, it waits for that check.
A workspace that is never activated (no card added, or a first payment that never went through) has a deletion date 14 days after it was created (section 7). Its owner receives a reminder to activate it and, at least three days before the date, a warning e-mail. It can no longer be activated from shortly before that date and no longer be used from it. During the trial, OpsBots sends the owner a welcome and at most two setup tips by e-mail; the tips can be switched off with one click.
The current plan and trial allowances are shown in the offer before you accept it and in your account. Reaching a limit can stop new answers, imports or a channel until capacity becomes available or the plan changes; it does not authorise unagreed overage charges.
4. Payment and cancellation
Prices are stated in the chosen currency excluding VAT. Applicable taxes and the amount due are shown before payment. Stripe processes card payments and supplies the billing portal. Subscriptions renew for the selected monthly or yearly period unless cancelled. An owner or admin may manage billing in the portal; purchasing activation and workspace closure remain owner actions.
A normal cancellation takes effect at the end of the current subscription period. Cancel a trial before its expiry to avoid the first charge. A failed payment starts Stripe's retry process; service may be restricted and the subscription ends if payment remains unsuccessful. The notice and account show the relevant status. Do not assume that a failed card payment is a cancellation request.
Closing a workspace is a separate action that stops its channels and starts the deletion process described below. Closing also ends the subscription at Stripe with immediate effect: nothing more is charged. Fees already paid for the current period are not refunded, except under section 9 or where mandatory law requires it. Closing during the trial costs nothing.
5. Content and acceptable use
You retain rights in your documents and other content. You grant CHK the limited right to store, copy, transform, search and transmit it as needed to provide the agreed service, through authorised providers under the DPA. This does not grant a general advertising or model-training licence. Rights in the OpsBots software remain with CHK or its licensors; generated material is not guaranteed to be exclusive or free of third-party rights.
Do not upload unlawful material, breach confidentiality or intellectual-property rights, send spam, bypass access controls or quotas, or attack the service. Do not use it to decide credit, insurance, essential-service access, hiring or education eligibility, or for emotion recognition. Sensitive or professionally confidential data requires a prior assessment and expressly agreed safeguards. CHK may suspend affected access when reasonably necessary to contain misuse or a security incident, explain the reason where lawful, and give an opportunity to remedy it where practical.
6. Availability and support
There is no uptime SLA, guaranteed response time or guaranteed business outcome. Maintenance, provider outages and safety limits may interrupt service. CHK uses reasonable care to operate and maintain the agreed functions and to address reported faults. Planned changes are communicated where practical. A disclaimer about AI does not remove CHK's obligations under the contract or mandatory law.
7. Return and deletion
You can export conversations and contacts (leads) as CSV files; your own source documents stay with you, and CHK helps return other customer data on request. Closing a workspace records a deletion date 30 days later, or keeps an earlier deletion date already set because the subscription had ended at Stripe. If a subscription ends at Stripe without the workspace being closed (for example after unsuccessful payments or a cancellation in the billing portal), the deletion date is 90 days after the end. A workspace that is never activated has a deletion date 14 days after it was created; the owner's login is deleted with it if it belongs to no other workspace. Until automated deletion is available, CHK deletes the workspace's data manually within 30 days after that date, records the deletion and confirms it on request. Backups expire as described in the DPA. The DPA governs customer data. Billing and legal evidence may be retained only to the extent required for a separate lawful purpose.
8. Liability
To the extent permitted by mandatory law, CHK's aggregate liability arising from the contract is limited to the fees paid by the client for OpsBots in the twelve months preceding the event giving rise to the claim. This limit does not apply to unlawful intent, gross negligence, death or personal injury where liability cannot be limited, or any other liability that mandatory law prohibits limiting, including protected third-party data-subject claims. Article 100 of the Swiss Code of Obligations remains applicable. The same exceptions apply to every limitation in these terms. The limit is never lower than CHF 1,000, including during a free trial.
9. Changes and disputes
CHK notifies material contractual or price changes by e-mail to the workspace owner at least 30 days before they apply. Prices already agreed for a prepaid period are not changed retrospectively. If a material change is unacceptable, you may end the affected service before it takes effect; mandatory rights remain intact. If you end the affected service because of such a change, CHK refunds the unused part of the fees prepaid for it, pro rata, within 30 days.
Swiss substantive law applies, excluding conflict-of-law rules. Subject to mandatory jurisdiction rules, courts at Lucerne have jurisdiction. A change to this clause cannot remove mandatory rights. German and English versions are intended to have the same meaning; a material ambiguity must be clarified rather than silently resolved against the client.
